MESOGEOS S.A. is committed to the implementation, maintenance and continuous improvement of the Anti-Bribery Management System in accordance with the specifications of the ISO 37001:2016 Standard in accordance with the national, European and international legal requirements and regulatory provisions that govern its operation as well as other provisions that are signed have been accepted by the Top Management.
MESOGEOS S.A. is committed to high standards of ethical behavior and requires all directors, senior executives, employees, business partners and other stakeholders with whom it works to comply with this policy without exception.
All officers and staff, including the Board of Directors and Senior Management, have been trained in accordance with this Anti-Bribery Policy.
MESOGEOS S.A. undertakes not to participate in acts of bribery, corruption and any illegal act that will lead to dismissal or termination of the business relationship involved.
MESOGEOS S.A. considers actions involving facilitation payments as bribes even if these are tolerated in the countries/sectors where it operates.
MESOGEOS S.A. only allows the receiving and giving of gifts and hospitality respectively where this is reasonable and proportionate to a business relationship. However, such benefits cannot be tolerated if there is a risk that such actions may be perceived as influencing decision-making.
MESOGEOS S.A. does not accept participation where corrupt practices are applied and will stop the relevant cooperation with the client or with another involved party, if such cases are found.
Where legal and other business relationships may in some countries differ from those stated in this Anti-Bribery Policy, the CEO will decide on the due diligence arrangements to be implemented prior to entering into any business relationship. However, without exception, MESOGEOS S.A. does not participate in acts of bribery and in particular will not knowingly participate in any transaction where corrupt practices are part of an agreement.
Where third parties represent MESOGEOS SA, they must, as part of their contractual obligations, agree to the clauses of this Policy. All their fees and expenses must be legal, reasonable, justified and documented by the relevant legal evidence.
Conflicts of interest are not acceptable. It is a condition of employment that the Board of Directors, executives and other employees do not engage in private business, political or charitable activities within MESOGEOS S.A. without the prior written consent of the CEO. It is a contractual condition, before the start of the relevant cooperation, that all subcontractors, representatives and other third parties declare to MESOGEOS S.A. if they have any actual or potential conflict of interest with a particular client or other stakeholder.
MESOGEOS S.A. does not engage in any political or charitable donation without the prior written consent of the CEO.

MESOGEOS S.A. responding to the requirements of modern business reality and aiming to protect its information systems, always aiming at seamless and exemplary service to its Customers, it has designed and installed an Information Security Management System (ISMS) according to the requirements of the ISO 27001:2022 Standard. The Company’s ISMS covers the design, construction, operation and maintenance of public and private projects and their equipment, especially energy, waste management, management of water supply, irrigation and drainage networks and was designed in accordance with the needs and aspirations of the Company and the Legal and Regulatory Requirements of the applicable Greek and Community Legislation. MESOGEOS S.A. is committed to the implementation and observance of a Business Continuity Management System based on the requirements of Standard EN ISO 22301:2019, based on which its compliance with the legal and regulatory requirements of the Standard, National and Community Legislation and Legislation on its field of activity, as well as ensuring the satisfaction of its customers and the expectations of its interested parties.

Objectives related to business continuity have been established and concern the implementation of measures to avoid non-conformities, response to emergency conditions, immediate response to incidents, satisfaction of interested parties, training of staff.
The Management of the Company is committed to ensuring all the required resources for the implementation and operation of the system, as well as the provision of the appropriate logistical infrastructure and the appropriate work environment for its executive staff.

MESOGEOS S.A. construction company (hereinafter “Company”), complies with all measures and obligations regarding the implementation of the provisions of Part II of Law 4808/2021 for the prevention and treatment of all forms of violence and harassment, including gender-based violence and harassment and sexual harassment.
The purpose of this policy is to create and consolidate an excellent work environment that respects, promotes and ensures human dignity and the right of every person to a workplace free of violence and harassment. MEDITERRANEAN S.A. declares that it recognizes and respects the right of every employee to a work environment free of violence and harassment and that it does not tolerate any such behavior, of any form, by any person. This policy is adopted in accordance with articles 9 and 10 of Law 4808/2021 and the applicable regulatory legislation and covers the persons of paragraph 1 of Article 3 of Law 4808/2021.
SCOPE OF THE POLICY
This policy applies to all employees and employees of MESOGEOS SA, regardless of the contractual status, including those employed with a project contract, contract for the provision of independent services, salaried mandate, those employed through third party service providers, as well as persons attending training, including apprentices, employees whose employment relationship has ended, as well as people who turn to the Company for work.
Employees with employment contracts with temporary employment agencies (TEAs), as well as employees assigned to the Company with a genuine loan agreement, are included in the protection of this policy. In case of violation by them of the prohibition of any form of violence and harassment, then they are subject to the measures taken by the Company, in accordance with this and the provisions of Part II of Law 4808/2021. In these cases, the managerial right to exercise disciplinary authority remains with the direct employer, to whom the relevant file will be forwarded by the Company.
This policy also applies in any case of violation of the prohibition of any form of violence and harassment by a loaned employee in the business of a third employer. Employees who are granted by the Company to a third employer with a genuine loan agreement and with his written agreement, are included in the protection provided by the third employer to his employees.
MESOGEOS SA does not allow and expressly prohibits any form of violence and harassment, which manifests itself during the work, whether connected to it or resulting from it, coming from the Company’s personnel or from external persons who do not belong to the Company’s personnel (such as customers, suppliers, third parties dealing with the company or not), including violence and harassment based on gender and sexual harassment, as well as any form of violation of human rights.
To this end, the Directors and Supervisors of the Company must ensure the preservation of a healthy working environment, free from violence and harassment and, accordingly, all employees, employees and partners of the Company are expected to comply with this policy by demonstrating the appropriate behavior.
DEFINITIONS
- “Violence and harassment” are the forms of behavior, acts, practices or threats thereof, which aim, lead or may lead to physical, psychological, sexual or financial harm.
- “Harassment” means forms of behavior that have the purpose or effect of violating the dignity of the person and creating an intimidating, hostile, humiliating, humiliating or aggressive environment, regardless of whether they constitute forms of discrimination. These behaviors also include harassment based on gender or harassment on other grounds of discrimination, such as, but not limited to, nationality, race, origin, individual characteristics, gender identity, sexual orientation, religious or political beliefs, disability, special needs and abilities, age.
- “Gender-based harassment” is any form of behavior linked to a person’s gender, which has the purpose or effect of violating that person’s dignity and creating an intimidating, hostile, humiliating, humiliating or aggressive environment. These forms of conduct include both sexual harassment and forms of conduct linked to the person’s sexual orientation, expression, identity or gender characteristics.
In accordance with the above:
Violence and harassment can include incidents of physical violence against an employee, verbal threats, the display of aggressive, hostile or threatening behavior.
Harassment may include offensive or demeaning behavior, physical or verbal, threatening or derogatory expressions, offensive and unwanted comments and jokes about race, national origin, religion, age, gender, sexual orientation, intelligence, marital status, individual characteristics, etc.
Gender-based harassment can include behavior that includes in a derogatory way, or in a way that causes discomfort or embarrassment, commenting on someone’s gender, appearance, sexual orientation, sending or sharing sexually explicit material in the workplace, behavior of a sexual nature, behavior that creates the belief of dependency of working conditions or preferential treatment based on whether or not to respond to proposals of a sexual nature, the use of obscene comments, gestures, facial expressions or jokes that demean or offend someone, the violation of personal space someone, including inappropriate physical contact.
The above enumeration is indicative. Any form of violence and harassment is offensive, demeaning to the recipient(s) and will not be tolerated in the Company’s work environment.
Preventing and combating violence and harassment at work
a) assessment of the risks of violence and harassment at work which has been added to the Company’s already existing Occupational Risk Assessment Study. According to this, exposure of an employee to a dangerous situation of violence and harassment at work can cause physical, psychological, sexual or financial harm, violation of the dignity of the person and creation of an intimidating, hostile, humiliating, humiliating or aggressive environment. - Ensuring that employees have the necessary training/information to perform their duties, particularly in jobs that have a higher risk of incidents of violence and harassment.
- Actions to raise employees’ awareness of healthy behavioral patterns (eg avoiding addictions), but also for issues concerning vulnerable categories of employees.
- Guidance and support for victims of violence and harassment or victims of domestic violence to reintegrate into the workplace.
c) staff information and awareness actions:
MESOGEOS S.A. through the Personnel Department organizes targeted staff meetings to discuss relevant issues and address potential risks in a timely manner. Additionally, it encourages the participation of employee representatives and management executives in training programs and educational seminars on the recognition and management of the risks of violence and harassment at work.
